FREELANCE DESIGNER CONTRACT AGREEMENT
By digitally signing this document via the Freelance Designer Agreement Form, the Designer agrees to the following:
The Designer certifies that they are 18 years of age or older
The Designer certifies that they are the person represented in the agreement form submitted
The Designer certifies that they reside at the address in the agreement form submitted
The Designer agrees to produce project at the request of the DDS Magazine for fees agrees upon in advance and delivery of the work by an agreed-upon deadline. Designer agrees that they will be the sole author of the work, which will be original work and free of plagiarism. Designer will cooperate with DDS Magazine in editing and otherwise reviewing the work prior to completion and launch.
Designer acknowledges that they may receive or have access to information which relates to DDS Magazine’s past, present, or future products, vendor lists, creative works, marketing strategies, pending projects/proposals, and other proprietary information. Designer agrees to protect the confidentiality of DDS Magazine’s proprietary information and all physical forms thereof, whether disclosed to Designer before this Agreement is signed or afterward. Designer can display materials and final work created for DDS Magazine after work has been published by DDS Magazine.
DDS Magazine agrees to pay Designer 50% of the total project cost before any services are provided, and the remaining 50% is to be paid when workable files or previews of workable files are submitted, satisfactory and approved verbally or by email. If work does not meet the specified requests of DDS Magazine or is incomplete, DDS Magazine reserves rights to revisions until satisfactory and/or complete. If the parameters of the work change, or if it involves more or less time than estimated, costs can be negotiated by either party.
Designer is responsible for the payment of all federal, state, and/or local taxes with respect to the services they performs for DDS Magazine as a freelance designer. DDS Magazine will not treat Designer as an employee for any purpose.
Both parties understand that DDS Magazine or Designer may terminate the service at any time if, for any reason, the relationship is deemed unsatisfactory by either party. Upon written or verbal cancellation, DDS Magazine is responsible for payment based on the percentage of the project completed that is determined by both DDS Magazine and Designer. Should Designer fail to complete project or cancel project before its completion, DDS Magazine will not be responsible for full payment as per the agreed upon service cost plus all costs incurred. In the event of cancellation, both DDS Magazine and Designer retain ownership of any work created and submitted by Designer, and approved by DDS Magazine verbally, written or via email and used by DDS Magazine prior to cancellation.
The designer assigns DDS Magazine Inc. the irrevocable and unrestricted right to use and publish submitted and approved work of the designer for digital, editorial, trade, advertising, educational and any other purpose. The designer releases all claim to profits that may arise from use of work after negotiated payment for design services has been made.
